- Establish and ratify the company’s articles of association and strategic changes related to the capital structure.
- Have full authority to appoint and dismiss members of the Board of Commissioners and the Board of Directors.
- Ratify the annual report, including the financial statements and the supervisory report of the Board of Commissioners.
- Determine the use of net profit and the distribution of dividends in a transparent manner.
- Possess a thorough understanding of the Limited Liability Company Law and the principles of Good Corporate Governance (GCG).
- Demonstrate a strong commitment to the sustainability of an independent conformity assessment body.
- Capable of conducting strategic evaluations of long-term corporate performance in accordance with national compliance standards.
Scope of Duties & Authority: The General Meeting of Shareholders (RUPS) acts as the highest authority, establishing the strategic foundation and legality of the company. Its scope of duties includes a comprehensive evaluation of annual performance and making crucial decisions not delegated to other boards. The GMS has full authority to restructure management through the appointment of Directors and Commissioners to ensure the company’s vision remains aligned with integrity values. Furthermore, the GMS serves as the final supervisor, ensuring that capital allocation and investment policies support the sustainability of TNVID as a credible international conformity assessment body.
